Terms & Conditions

1 Definitions
In this Agreement unless the context otherwise requires the following expressions have the explicit meanings:

  • "Client Brief" means the client brief attached hereto and which forms part of this Agreement.
  • "Completion" means either a Sale Completion or a Rental Completion.
  • "Rental Completion" means the signing of a lease of a rental property.
  • "Sale Completion" means the passing of the sale contract in the Royal Court of Jersey.
  • "Search Period" means the period of 6 months from ??? and ending on ???.
  • "Success Fee" means the 1% of the purchase price of the chosen property or in the case of a rental property means the equivalent of one months rent of the chosen property.
  • "Services" means those services detailed in paragraph 3 below.

2 Term
This Agreement for supply of the Services shall commence on the date of the signing of this Agreement by the Client and shall continue until terminated pursuant to the provisions of clause 5.

3 The Services
During the Search Period, Edge Property Finders will locate appropriate properties and arrange viewings by the Client on all short listed properties. Once a suitable property has been found, Edge Property Finders can assist or conduct all negotiations on the Client's behalf, to ensure securing the property for the best possible sale or rental price.

4 Charges and Fees
Our property search services will commence immediately upon clearance of the Retainer Fee and receipt of this Agreement duly signed by the Client. Upon termination or expiry of this Agreement, if you have not purchased or agreed to purchase, we shall be entitled to charge you for all reasonable expenses and disbursements (including for the time of our personnel at our rates as from time to time, details of which are available on request) incurred by us in providing the Services to you up until the date of termination.

The Success Fee for a purchased property is payable on the Tuesday following Sale Completion of any property introduced by Edge Property Finders under this Agreement.

The Success Fee in the case of a rental property is payable on the Rental Completion date.

We shall be deemed to have introduced a property to you if you have received the particulars of a property from ourselves directly or indirectly, or from any of the firms of estate agents or individuals whom you have instructed us to negotiate with on your behalf.

For the avoidance of doubt, a property will be introduced by Edge Property Finders where Edge Property Finders assists you (or in the case of a corporate customer, your Employer) to locate a property and/or reach Completion. This includes but is not limited to circumstances where Edge Property Finders provides only part of the Services for example notifying the Client of the availability of a property but not being involved in the viewings or negotiations of that property.

If the Client resides outside the UK additional communication costs may be charged. Wherever possible communication will be by email and fax therefore minimising telephone costs. Where these communications costs are payable these will be clearly itemised and invoiced monthly. Payment terms are within 7 days of invoice.

5 Termination
The Services may be terminated with effect from the end of the Search Period by either party giving to the other written notice.

If Completion takes place in respect of a property introduced by Edge Property Finders after termination of this Agreement you will still be liable to pay the Success Fee to Edge Property Finders upon Completion.

6 Liability
You acknowledge that the final decision regarding the suitability of a particular property is your sole responsibility and Edge Property Finders accepts no liability in respect of such a decision.

Edge Property Finders accepts no liability for any defects in title, structural defects, building quality or any other restriction, covenant or restrictive covenant which may be found to burden a property introduced to you by Edge Property Finders.

Notwithstanding the obligations of Edge Property Finders under this Agreement, nothing contained herein shall be construed as a guarantee that a suitable property will be located.

Except in respect of injury to or death of any person or any other liability which cannot be limited or excluded by law (for which no limit applies) the liability of Edge Property Finders for direct loss caused to you shall not exceed the price paid by you under this Agreement.

Notwithstanding anything else contained in this Agreement, Edge Property Finders shall not be liable to you for any special, indirect or consequential loss whether arising from negligence, breach of contract or howsoever.

Any third parties to whom we introduce the Client to do not form part of Edge Property Finders services and we accept no liability or responsibility for their goods or services.

7 General
This Agreement constitutes the entire contract between the parties and supersedes all prior arrangements (both oral and written) relating to this subject matter of this Agreement.

Where we have more than one client expressing an interest in a property we will negotiate on behalf of the first client to place an offer for that property.

Edge Property Finders are not an estate agent and will not promote any property on behalf of a private client for payment.

This Agreement shall be governed by and construed in accordance with the laws of Jersey and the parties agree that any dispute arising out of or in connection with these terms and conditions shall be referred to and dealt with by the Courts in Jersey.
